The prep problem

Every listing starts as a mess.

The P&L is in Xero. The lease is in the seller's inbox. Last year's accounts are with the accountant, and the asset list is a spreadsheet nobody has updated. Before a buyer sees anything, you pull it all together by hand.

Where a listing's information lives today

  • Xero
  • Seller's inbox
  • Accountant's spreadsheets
  • Dropbox
  • Google Drive
  • Scanned PDFs
  • Phone photos
  • Old IM template

…and you're the one pulling it together.

01

Chasing documents

Follow-up emails to the seller and their accountant, then sorting whatever arrives into something a buyer can read.

02

Normalising by hand

Owner costs and one-offs found line by line in a spreadsheet, and every add-back has to survive a buyer's accountant.

03

Writing the IM from scratch

A fresh Information Memorandum for every listing, even though most of what goes in it is already in the books.

04

A shared folder as a data room

Buyers get a Dropbox link and email attachments, with no clean way to control who sees what, or when.

The gap

Investment banks get deal software. Brokers get Dropbox.

Corporate M&A teams run deals through virtual data rooms and analyst-prepared financials. Those tools are built and priced for large transactions, so brokers selling SMEs make do with shared folders, spreadsheets and email.

How it works

Two inputs in. A buyer-ready deal pack out.

In

The seller's Xero

A read-only connection to the ledger, so the work starts from source transactions, not a retyped P&L.

The seller's documents

Leases, contracts, accounts and asset lists, uploaded by the seller to one place instead of your inbox.

You stay in charge

AI does the legwork. You make the calls.

Every number traces back

Each add-back and adjustment links to the Xero transactions behind it, so you can defend it to a buyer's accountant.

Nothing reaches a buyer without you

Drafts, valuations and documents stay private until you choose what to share, and with whom.

Read-only on the seller's books

Vaeron reads from Xero. It can't change anything in the seller's accounts.

Questions

Before you join.

Is this live?

Not yet, but soon. The MVP is being finalised and founding brokers get access first. The preview on this site uses sample data for a fictional business.

Is the AI making the decisions?

No. It drafts and suggests: add-backs, the IM, how documents are filed. You approve or change every one, and nothing reaches a buyer until you share it.

Where does the valuation come from?

Normalised EBITDA multiplied by a range drawn from comparable SME sales. Which market data sources to use is still being decided, so it's labelled indicative. It supports your judgement; it doesn't replace a formal valuation.

Does it replace my CRM?

That's one of the questions we ask brokers who join. The preview shows a standalone version; whether it should sit alongside or inside your CRM is still open.

What does it cost?

Founding broker pricing is shown after you join. Reserving a spot is free and nothing is charged.

Where does my data go?

Your details are used only to run early access. See the privacy policy for exactly what is collected and how to ask for deletion.

Is AML/CFT covered?

Not in the first version. It's flagged for later, and the product is being designed so it can be added.
